1. About these Terms

These General Terms apply to the Microdosis website, the Apps and every Microdosis service. Each service also has its own Service Terms (Scanner, Compass, Copilot, Consultant), linked on its product page. Together they form your agreement with Microdosis. If the two conflict, the Service Terms apply to that service. Development work is governed by its written proposal. How we handle personal data is set out in our Privacy Policy: https://www.microdosis.xyz/privacy-policy.

How you agree. By purchasing, you agree to these General Terms and to the Service Terms of what you buy; checkout summarises them and links to both before you pay. Before your service starts, the Microdosis Support bot asks you to confirm by tapping Accept, and nothing starts until you do. By using the website without purchasing, you agree to sections 10, 18 and 20.

2. Who we are

Microdosis LLC is a Delaware limited liability company, 2093 Philadelphia Pike Suite #3776, Claymont, DE 19703, United States ("Microdosis", "we", "us"). Microdosis provides a design framework for founders in three stages: Diagnostic, Direction and Development.

3. Eligibility

You must be at least 18 years old and able to enter a binding contract. If you buy on behalf of a company, you confirm you are authorised to bind it.

4. Definitions

- Client: the person or company that purchased a service.

- Service Terms: the terms specific to one service, linked on its product page.

- Business day: Monday to Friday, excluding public holidays at Microdosis's operating location, as announced in the Apps.

- Apps: the Scanner, Compass, Copilot and Home apps, and any tools Microdosis adds later.

- Microdosis Support bot: the Telegram bot that sends service notifications.

- Session: any live meeting included in a service.

- Deliverable: anything Microdosis writes for you.

- Your Content: everything you submit.

5. Your statutory rights come first

Nothing in these Terms limits rights you have under consumer protection laws that cannot be excluded by contract. This includes the consumer guarantees under the Australian Consumer Law and the New Zealand Consumer Guarantees Act, and the withdrawal rights of consumers in the European Union and the United Kingdom (section 14). Where a clause conflicts with such a right, the right applies.

6. What Microdosis is, and is not

Microdosis provides strategic, creative and educational guidance. It is not legal, financial, tax, investment, medical or psychological advice. We do not guarantee any business, financial or commercial result. Decisions you make based on our work are yours.

7. Language

Services are delivered in English or Spanish, as you choose. These Terms may be offered in Spanish for convenience; if the versions differ, the English version applies, unless the law of your country requires otherwise.

8. How our services work

Every service runs on shared work: you complete your steps, we complete ours. Our timelines are commitments; yours are targets we help you keep. When we are late, your timelines extend by the same number of days. Each Service Terms sets out the steps, the timelines on both sides and what happens if a step is missed.

9. Sessions

These rules apply to every Session in every service.

- Rescheduled or cancelled 24 hours or more ahead: free. Rebook any available time.

- Rescheduled or cancelled less than 24 hours ahead: the first time per service, rebooked once as a courtesy. After that, the Session is forfeited.

- More than 15 minutes late: treated as a no-show.

- No-show: the first time per service, rebooked once. After that, forfeited.

- Repeated changes (3 or more late changes or no-shows in one service): Microdosis may require Sessions to be booked at least 72 hours ahead, or end the service under section 19.

- Microdosis cancels or reschedules less than 24 hours ahead: rebooked at your convenience, with priority.

- Technical failure on either side: rebooked, no penalty.

Every Session is attended by an AI note-taking tool, which records it to produce a written summary. This is part of the service and a condition of every Session, and we announce it at the start of each one. Microdosis does not store the audio or video recording; it keeps only the summary, with your Content, confidential under section 17. The recording is processed by Base44, our app provider, as set out in the Privacy Policy. If you bring anyone else to a Session, you must tell them it is recorded; anyone who does not agree cannot take part. Video-call Sessions use the link sent through the Apps or Calendly.

10. Apps and your account

Your account. Your account is tied to the email you purchased with. Keep your access private; you are responsible for activity on your account. The Apps show the official status of every step: what is done there is done.

Acceptable use. You agree not to: share your account; upload unlawful content or content you have no right to share; upload malware; attempt to access other clients' data; copy, scrape or reverse-engineer the Apps or the website; or use them to build a competing service. We may suspend access that breaks these rules.

Access after your service ends. When a service ends, what it holds in the Apps (for example, your Scanner data, your Compass cycles or your Copilot Threads) remains available to read, at no cost, for 2 years from the end of that service. After that, we may delete it; you can export your Content at any time before then. If we discontinue an App, we will give you at least 60 days' notice and a way to export your Content. Free features such as Layers may change or be withdrawn.

Availability. The Apps and the website are provided as they are. We work to keep them running but do not guarantee uninterrupted access. If an outage stops you from completing a step, the relevant timeline extends by the length of the outage.

11. Telegram and communications

Telegram is part of the service. Scanner, Compass, Copilot and Consultant run through the Microdosis Support bot on Telegram, which tells you what is next at each step, between 08:00 and 21:00 your local time. Connecting a Telegram account is a condition of these services for as long as they run. If you don't connect, or you disconnect, you will receive no reminders, and Microdosis cannot guarantee your service runs to its timelines. Your deadlines still apply, and so do our own commitments in the Service Terms. If Telegram is unavailable in your country, we will agree on another channel with you.

The bot does not answer questions. Messages you write to it are passed to Microdosis. Essential notices (purchase, changes to these Terms, end of service) are always sent by email.

How we communicate. Service communication happens through the Apps, Telegram, email and, where you already use it with us, WhatsApp. Communication is respectful in both directions; abusive behaviour is grounds for ending the service (section 19).

12. Prices, payment and promotions

Prices are in US dollars and are paid in advance at checkout, unless a written proposal says otherwise. Taxes are added where the law requires. Card payments are processed by our payment provider; Microdosis never sees or stores your card number.

Access offers and discount codes apply to the list price shown at checkout. Each offer states its window and conditions when published. One code per purchase; codes cannot be combined, exchanged for cash or applied to past purchases. A discount on one service does not change the list price of any other.

13. Subscriptions and prepaid terms

Subscriptions. Services sold as subscriptions are identified in their Service Terms. Monthly and yearly subscriptions renew automatically for the same period, at the price shown at purchase, until you cancel. For yearly subscriptions, we remind you 30 days before renewal, by email and through the Microdosis Support bot. You can cancel at any time from your customer account on the Microdosis website; cancellation takes effect at the end of the current paid period, and you keep access until then. We give at least 30 days' notice of any price change, which applies only from your next renewal after the notice.

14. EU and UK consumers: 14-day withdrawal

This section applies only to consumers in the EU and the UK, not to purchases made for a business. Their law gives consumers 14 days to withdraw from a purchase. Before your service starts, you ask us through the Microdosis Support bot to start it immediately, and acknowledge that if you withdraw, you pay for what has already been delivered, and that once the service is fully delivered the right ends. Nothing starts until you accept, and we confirm your acceptance by email. Each Service Terms sets the milestones that measure delivered value.

15. Refunds, credits and chargebacks

Refunds. Our services are personal and start the moment you begin, so payments are not refundable, except:

- under your statutory rights (sections 5 and 14);

- when Microdosis is late on its own deliverables beyond the limits in the Service Terms;

- when Microdosis ends a service without fault on your side (section 19), in which case unused prepaid time is refunded pro rata;

- when Microdosis cannot deliver a service it sold you.

Refunds are paid to the original payment method within 14 days of approval.

Credits. Where the Service Terms give a credit (an added month, week or Session), the credit is the full remedy for that delay, unless your statutory rights give you more.

Chargebacks. If you have a problem with a payment, write to us first. Opening a chargeback suspends access to the related service while it is resolved.

16. Vouchers, referrals and Development

Vouchers. Vouchers, including referral rewards, are valid for 1 year from issue, have no cash value, cannot be transferred and are not refunded if unused.

Referrals. If you refer others through the Referral Program, you agree to mention that you receive a reward whenever you recommend Microdosis publicly.

Development. Jump and other Development services are scoped and priced individually in a written proposal, which governs ownership of what we build and any milestone payments.

17. Confidentiality, AI and public content

Confidentiality. We keep your Content and anything you tell us about your business confidential. We may use your Content in anonymised form, so that neither you nor your project can be identified, to improve the framework and in our marketing, for example as an unattributed example or quote. Anything that identifies you or your project, including your name, image or attributed words in testimonials and case studies, is published only with your separate written consent, which you can withdraw for future use at any time. This does not cover information that is already public or that the law requires us to disclose.

AI tools. We use AI tools to help organise and draft parts of our work. Every Deliverable is reviewed and approved by a person at Microdosis.

Events and public content. Microdosis events (Telescope, Chapters, Webinars) may be recorded, and attendees are told at registration. Content filmed in public is published only with the consent of the people featured. These Terms do not cover those recordings; they are governed by the notice or release given at the time.

18. Ownership

Your Content and your ideas. You own your Content. You give Microdosis a limited licence to use your Content to deliver your service, to provide archived access, and as set out in section 17.

Deliverables and the framework. You may use your Deliverables freely within your own business. The Microdosis framework, its methods, stages, Forms, app designs, terminology, website content and branding remain the property of Microdosis LLC. You may not reproduce, resell or teach them as a service, or use them to build a competing offer. Ownership of anything built under a Development proposal, including domains and platform accounts, is set by that proposal; our principle is that the client owns the assets of their own business.

19. Ending a service

You may end a subscription as set out in section 13. Microdosis may end a service with written notice if you break these Terms and do not fix it within 7 days, if you behave abusively, or if you do not pay. Microdosis may also end a service for its own reasons with 30 days' notice, refunding unused prepaid time pro rata. Sections on payment, ownership, confidentiality, liability and law survive the end of a service.

20. Limitation of liability

To the extent the law allows, Microdosis is not liable for indirect or consequential loss, including lost profits, revenue, opportunities or data. Our total liability for any claim is limited to the amount you paid for the service the claim relates to in the 12 months before it arose. Nothing here limits liability for fraud, gross negligence, death or personal injury, or rights under section 5.

21. Events beyond control

Neither side is responsible for delays caused by events outside reasonable control, such as illness, outages of third-party platforms, natural events or government action. Affected timelines extend accordingly.

22. Changes to these Terms

Each version of these Terms is numbered and dated, and we record which version you accepted. We will give at least 30 days' notice by email of material changes. Changes do not apply to services or periods you have already paid for. If a change affects an ongoing subscription, the Microdosis Support bot asks you to accept the new version; if you do not accept it, you may cancel before it takes effect.

23. Disputes and governing law

Write to us first; we commit to try to resolve any issue within 30 days. These Terms are governed by the laws of the State of Delaware, United States, and disputes go to its courts. If you are a consumer, you keep the protection of the mandatory laws of your country of residence and may bring proceedings there.

24. General

If any clause is found invalid, the rest remain in force. Not enforcing a clause is not a waiver. You may not transfer your service to someone else without our consent. These General Terms, the Service Terms for your service, and any written proposal are the whole agreement between us.
